1. Agreement to Terms
By accessing or using the LPO platform ("Platform"), operated by Livestock Transit Pro ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including shippers, drivers, and visitors.
2. Platform Overview
LPO is a two-sided marketplace that connects livestock shippers with vetted, independent drivers for safe animal transport across the United States. The Platform provides tools for load posting, driver matching, real-time tracking, co-shipping arrangements, document management, contract e-signatures, messaging, and payment processing.
LPO acts solely as an intermediary connecting shippers and drivers. We are not a carrier, broker, or freight forwarder. We do not take possession of, transport, or assume liability for any livestock or cargo.
3. Eligibility & Account Registration
You must be at least 18 years old and legally capable of entering into binding agreements. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your login credentials confidential
- Accept responsibility for all activity under your account
- Register for only one role per account (shipper or driver)
You may sign up using email/password or through Google Sign-In. Regardless of the method, you are bound by these Terms upon account creation.
4. User Roles & Obligations
4.1 Shippers
As a shipper, you agree to:
- Provide accurate information about livestock type, head count, pickup/delivery locations, and special requirements
- Ensure all animals are healthy and fit for transport with required health certificates
- Comply with all applicable federal, state, and local regulations including USDA animal transport requirements
- Be present (or designate an authorized representative) at pickup and delivery
- Pay agreed-upon amounts promptly through the Platform
- Treat drivers with respect and professionalism
4.2 Drivers
As a driver, you agree to:
- Maintain a valid Commercial Driver's License (CDL) of the appropriate class
- Maintain current USDOT and MC numbers as applicable
- Carry adequate cargo insurance coverage
- Maintain vehicles and trailers in safe, clean, and roadworthy condition suitable for animal transport
- Comply with all USDA regulations, the 28-Hour Law, and applicable animal welfare standards
- Provide accurate vehicle information (type, capacity, condition) in your profile
- Handle all livestock with care, ensuring proper ventilation, water access, and rest stops
- Deliver livestock safely and on time as agreed
- Provide real-time tracking data during active transports
5. Co-Shipping Arrangements
The Platform allows drivers to post available truck capacity and shippers to book shared space ("Co-Shipping"). When using co-shipping features:
- Drivers are responsible for ensuring that combined loads are compatible and comply with animal welfare requirements
- Shippers acknowledge that their livestock may share transport space with other shippers' animals
- Space availability, detour limits, and pricing are set by the driver and agreed upon by the shipper before booking
- The driver retains final discretion on accepting or rejecting co-shipping requests based on safety considerations
6. Payments & Subscriptions
6.1 Payment Processing
Payments are processed through Stripe, our third-party payment processor. By making payments on the Platform, you agree to Stripe's terms of service. We do not store your full credit card information on our servers.
6.2 Subscription Plans
Certain features require a paid subscription (Pro or Pro+). Subscriptions are billed on a recurring basis. You may cancel at any time, but refunds are not provided for partial billing periods. Subscription status may include active, trialing, past due, canceled, or incomplete.
6.3 Bidding & Pricing
Drivers may bid on loads posted by shippers. Bids represent binding offers once accepted. The final price is agreed between the shipper and driver. LPO does not set, negotiate, or guarantee pricing.
7. Contracts & E-Signatures
The Platform facilitates contract creation and electronic signatures via DocuSign integration. By using the e-signature feature, you acknowledge that electronic signatures carry the same legal weight as handwritten signatures under the ESIGN Act and UETA. You are responsible for reviewing all contract terms before signing.
8. Reviews & Ratings
Shippers may leave reviews and ratings for drivers after completed transports. Reviews must be honest, factual, and relevant to the transport experience. We reserve the right to remove reviews that contain abusive language, personal attacks, false claims, or content unrelated to the service provided.
9. Safety & Compliance
All users must comply with applicable federal and state regulations governing livestock transport, including but not limited to:
- USDA Animal and Plant Health Inspection Service (APHIS) regulations
- The 28-Hour Law (49 U.S.C. § 80502)
- Federal Motor Carrier Safety Administration (FMCSA) regulations
- State-specific livestock transport permits and health certificate requirements
LPO provides tools to help facilitate compliance (document uploads, credential verification) but does not guarantee that any user is in full regulatory compliance. Each user is independently responsible for their own compliance.
10. Liability & Disclaimers
10.1 Platform Liability
LPO is a marketplace platform, not a carrier. We do not transport livestock, assume custody of animals, or guarantee the performance of any shipper or driver. To the maximum extent permitted by law, LPO shall not be liable for:
- Loss, injury, or death of livestock during transport
- Damage to vehicles or equipment
- Delays, route deviations, or missed deliveries
- Disputes between shippers and drivers
- Regulatory violations by any user
10.2 Cargo Insurance
Drivers are required to maintain their own cargo insurance. Shippers are encouraged to verify a driver's insurance coverage before booking. LPO does not provide cargo insurance and is not responsible for uninsured or underinsured losses.
10.3 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Dispute Resolution
In the event of a dispute between a shipper and a driver, we encourage users to first attempt resolution through the Platform's messaging system. If direct resolution fails, LPO may, at its sole discretion, offer mediation assistance but is not obligated to do so.
Any disputes between you and LPO shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose
- Misrepresent your identity, credentials, vehicle capabilities, or livestock condition
- Circumvent the Platform to arrange transactions directly and avoid fees
- Harass, threaten, or abuse other users
- Post false, misleading, or deceptive content
- Interfere with or disrupt the Platform's operation
- Attempt to access another user's account without authorization
- Transport animals in a manner that violates animal welfare laws
13. Termination
We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms. You may delete your account at any time through the Platform settings. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including liability limitations, dispute resolution, and indemnification) will survive.
14. Intellectual Property
All content, trademarks, logos, and software on the Platform are the property of LPO or its licensors. You may not copy, modify, distribute, or create derivative works from any Platform content without our prior written consent. Content you upload (profile photos, vehicle images, documents) remains yours, but you grant us a non-exclusive license to use it for Platform operations.
15. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms. If you disagree with any changes, you must stop using the Platform and delete your account.
16. Governing Law
These Terms are governed by the laws of the United States and the state in which the Company is incorporated, without regard to conflict-of-law principles.
